GoodHelp AI provides AI receptionist and related business communication services, including call handling, messaging, and appointment support. Specific service details are set out in your proposal, order form, or other written agreement with us.

You represent that you are at least the age of majority in your jurisdiction and have authority to enter into these Terms on behalf of yourself or your business.

Customer Responsibilities

  • Provide accurate and complete information required to configure and operate the services.
  • Maintain appropriate permissions and legal rights for any data, scripts, contact lists, or integrations you provide.
  • Use the services only for lawful business purposes.
  • Ensure compliance with all laws applicable to your business communications, including call recording and consent requirements.

Prohibited Use

You must not use the services to engage in unlawful, fraudulent, deceptive, harassing, abusive, or harmful activities, or to interfere with the operation or security of the services.

Fees and Payment

Fees, billing terms, and payment schedules are set out in your service agreement or invoice. Unless otherwise agreed in writing, fees are due when billed and are non-refundable.

Intellectual Property

We retain all rights, title, and interest in and to our website, software, systems, and service materials, including all related intellectual property rights. No ownership rights are transferred to you except as expressly stated in writing.

Confidentiality and Data

Each party may receive confidential information from the other. Each party agrees to protect confidential information and use it only as needed to perform or receive services. Our handling of personal information is described in our Privacy Policy.

Third-Party Services

Our services may rely on third-party providers and integrations. We are not responsible for third-party products or services, including their availability, performance, or policies.

Disclaimer of Warranties

To the maximum extent permitted by law, the website and services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory. We do not warrant uninterrupted or error-free operation.

Limitation of Liability

To the maximum extent permitted by law, GoodHelp AI and its directors, officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunities, arising from or related to these Terms or the services.

To the maximum extent permitted by law, our total aggregate liability for all claims arising out of or relating to these Terms or the services is limited to the amount paid by you to us for the services in the three (3) months preceding the event giving rise to the claim.

Indemnity

You agree to indemnify and hold harmless GoodHelp AI from claims, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the services, your breach of these Terms, or your violation of applicable law or third-party rights.

Suspension and Termination

We may suspend or terminate access to services if you breach these Terms, fail to pay fees when due, or where necessary to protect the services, other users, or legal compliance. You may stop using the services at any time, subject to any contractual commitments in your service agreement.

Changes to Terms

We may update these Terms from time to time. Updated Terms become effective when posted on this page unless otherwise stated.

Governing Law

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable in Alberta, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts of Alberta.
